1. Agreement to these Terms
Welcome to ReLoop. These Terms of Service (“Terms”) are a binding agreement between you and [ReLoop Company Legal Name] (“ReLoop”, “we”, “us”, or “our”), a company registered in Lao PDR, governing your access to and use of the ReLoop mobile application and related services (collectively, the “Platform” or “Services”).
By creating an account, accessing, or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
If you register as a Partner (store vendor), these Terms apply to you and you must also accept our Partner Agreement.
2. About ReLoop
ReLoop operates a marketplace platform that connects Customers with Partners (local food businesses) offering discounted surplus food for reservation, payment, and in-store pickup in Vientiane, Lao PDR.
Important: ReLoop is a technology platform and marketplace intermediary. Unless we explicitly state otherwise:
- Partners are independent businesses, not employees or agents of ReLoop;
- The sale of food is between the Customer and the Partner — ReLoop facilitates discovery, ordering, and payment processing but is not the seller of the food;
- ReLoop does not prepare, package, or control the contents of surplus listings.
Our tagline reflects our mission: Save More. Waste Less.
3. Definitions

| Partner | A business approved to list and sell surplus food on the Platform. |
| Listing | A surplus food offer published by a Partner, including price, quantity, pickup window, and photos. |
| Order | A confirmed reservation or purchase of one or more Listings. |
| Pickup window | The time period during which a Customer must collect an Order at the Partner’s location. |
| Pickup code | A verification code used to confirm Order collection. |
| Content | Text, images, reviews, and other materials submitted to or displayed on the Platform. |
4. Eligibility and accounts
4.1 Who may use the Platform
You must:
- Be at least 18 years old (or the age of majority in Lao PDR, if higher);
- Have the legal capacity to enter into a binding contract;
- Provide accurate registration information and keep it up to date;
- Use the Platform only for lawful purposes.
One account is for one role in the pilot version: either Customer or Partner (vendor). You may not use a single account for both roles unless we explicitly enable that feature.
4.2 Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@reloop.la if you suspect unauthorized access.
We may suspend or terminate accounts that violate these Terms or pose a security risk.
4.3 Account approval (Partners)
Partner accounts and store profiles are subject to approval by ReLoop. We may reject or suspend Partners that do not meet our quality, safety, or legal standards.
5. Customer terms
5.1 Browsing and ordering
Customers may browse Listings, add items to a cart, and place Orders subject to availability. A Listing shows:
- Discounted price and (where provided) original reference price;
- Available quantity;
- Pickup location and pickup window;
- Photos and description supplied by the Partner.
Surplus food is variable. Listings may describe general categories (e.g. “bakery surplus bag”) rather than exact contents. See our Food Safety and Surplus Disclosure.
5.2 Payment
Payment is processed through third-party payment providers (e.g. PhaJay / BCEL One). When you pay:
- You may be redirected to your bank or payment app;
- ReLoop does not store your full bank or card credentials;
- An Order is confirmed as paid only when we receive confirmation from the payment provider (not merely when you return to the App).
All prices are displayed in Lao Kip (LAK) unless otherwise stated.
5.3 Pickup
You agree to:
- Collect your Order during the stated pickup window at the Partner’s address;
- Present your pickup code or Order confirmation;
- Treat Partner staff respectfully and follow reasonable store policies.
If you fail to collect an Order within the pickup window, the Partner may mark the Order as uncollected. Refund eligibility is governed by our Refund and Cancellation Policy.
5.4 Prohibited customer conduct
You may not:
- Place fraudulent Orders or abuse promotions;
- Resell surplus food in violation of Partner or local law;
- Harass Partners or other users;
- Attempt to circumvent payment or pickup verification;
- Scrape, reverse engineer, or misuse the Platform;
- Use the Platform if you have been suspended or banned.
6. Partner terms (summary)
Partners must comply with the full Partner Agreement. In summary, Partners agree to:
- Provide accurate store and Listing information;
- Offer only safe, legally sellable surplus food;
- Honor confirmed paid Orders during the pickup window;
- Use the Platform honestly and in compliance with applicable food safety and business laws;
- Accept ReLoop’s commission or fee structure (as specified in the Partner Agreement or onboarding materials).
ReLoop may remove Listings, withhold payouts, or terminate Partner accounts for violations.
7. Marketplace rules and Content
7.1 User Content
You retain ownership of Content you submit (e.g. photos, store descriptions). You grant ReLoop a non-exclusive, worldwide, royalty-free license to use, host, display, and distribute your Content solely to operate, promote, and improve the Platform.
You represent that you have all rights necessary to submit Content and that it does not infringe third-party rights or violate law.
7.2 Our Content
The ReLoop name, logo, App design, and other ReLoop materials are protected by intellectual property laws. You may not copy or use them without our written permission.
7.3 Moderation
We may review, remove, or restrict Content that violates our Community Guidelines or these Terms. We are not obligated to monitor all Content but may do so.
8. Fees and taxes
Customers pay the price shown at checkout plus any applicable fees disclosed before payment.
Partners may be charged platform fees or commissions as described in the Partner Agreement. Partners are responsible for their own taxes, licenses, and regulatory compliance.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
9.1 Platform provided “as is”
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Food and Partner responsibility
RELOOP DOES NOT GUARANTEE THE QUALITY, SAFETY, INGREDIENTS, ALLERGEN STATUS, OR FITNESS FOR CONSUMPTION OF ANY FOOD SOLD BY PARTNERS. PARTNERS ARE SOLELY RESPONSIBLE FOR THE FOOD THEY SELL, INCLUDING LABELING, STORAGE, AND COMPLIANCE WITH APPLICABLE FOOD LAWS.
9.3 No guarantee of availability
We do not guarantee that any Listing will remain available, that Orders will always be fulfilled, or that the Platform will be uninterrupted or error-free.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
RELOOP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO RELOOP IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) 500,000 LAK.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
Nothing in these Terms limits liability for death or personal injury caused by negligence where such limitation is prohibited by law, or for fraud or willful misconduct.
11. Indemnification
You agree to indemnify and hold harmless ReLoop and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Platform;
- Your Content;
- Your violation of these Terms or applicable law; or
- Your sale or purchase of food (for Partners and Customers, respectively, to the extent caused by your conduct).
12. Disputes between users
Disputes between Customers and Partners (e.g. regarding food quality or missed pickup) should first be reported to support@reloop.la. We may, at our discretion, facilitate communication or apply our Refund and Cancellation Policy, but we are not obliged to resolve every dispute.
13. Disputes with ReLoop and governing law
These Terms are governed by the laws of Lao PDR, without regard to conflict-of-law principles.
Any dispute arising from these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Vientiane, Lao PDR, unless mandatory consumer protection law in your jurisdiction requires otherwise.
Before filing a claim, you agree to contact us at legal@reloop.la and attempt to resolve the dispute informally for at least 30 days.
14. Suspension and termination
We may suspend or terminate your access to the Platform at any time if:
- You breach these Terms or our policies;
- We are required to do so by law;
- We discontinue the Platform or your region.
You may delete your account at any time through the App or by contacting support@reloop.la.
Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
15. Changes to these Terms
We may modify these Terms from time to time. We will post the updated Terms and update the version date. Material changes will be notified through the App or by email. Continued use after the effective date constitutes acceptance, except where applicable law requires renewed consent.
When you accept updated Terms at signup or in the App, we record your acceptance (including version identifier) for compliance purposes.
16. General provisions

| Force majeure | We are not liable for delays or failures due to events beyond our reasonable control. |
| Language | These Terms are drafted in English. A Lao translation may be provided for convenience; in case of conflict, the version designated by ReLoop as controlling prevails. |
