1. Parties and acceptance
This Partner Agreement (“Agreement”) is entered into between:
[ReLoop Company Legal Name] (“ReLoop”, “we”, “us”)
[Street Address], Vientiane, Lao PDR
and
The business entity registering as a Partner on the ReLoop Platform (“Partner”, “you”, “your”).
By registering a Partner account, creating a store profile, or listing surplus food on the ReLoop mobile application (“Platform”), you agree to this Agreement, our Terms of Service, Privacy Policy, Community Guidelines, Refund and Cancellation Policy, and Food Safety and Surplus Disclosure.
If you sign up on behalf of a business, you represent that you are authorized to bind that business to this Agreement.
2. Purpose
ReLoop provides a technology platform that enables Partners to:
- Publish surplus food listings at discounted prices;
- Receive paid orders from Customers;
- Manage pickup fulfillment during designated time windows; and
- Access basic operational tools (dashboard, order inbox, listing management).
ReLoop is not the seller of record for food listed by Partner. Partner remains responsible for food safety, regulatory compliance, and customer service at the point of pickup.
3. Partner eligibility and onboarding
3.1 Requirements
To become a Partner, you must:
- Be a legally registered business (or sole proprietor) authorized to sell food in Lao PDR;
- Hold valid business and tax registrations as required by local law;
- Provide accurate business name, address, contact details, and store hours;
- Pass ReLoop’s approval process (we may verify licenses, inspect listing quality, or conduct site visits during the pilot);
- Designate at least one authorized account owner with a valid email and phone number.
3.2 Approval and suspension
ReLoop may approve, reject, or suspend Partner accounts at its discretion. Grounds for rejection or suspension include:
- Incomplete or false registration information;
- Repeated customer complaints about food safety or misleading listings;
- Failure to fulfill paid orders;
- Violation of this Agreement or applicable law.
4. Listings and surplus food standards
4.1 Listing requirements
Each listing must include, at minimum:
- A clear title describing the type of surplus (e.g. “Bakery surplus bag”, “End-of-day prepared meals”);
- Accurate quantity available;
- Price in LAK (discounted price and, where shown, original reference price);
- A pickup window during which Customers may collect orders;
- At least one cover photo that honestly represents the type of food offered.
4.2 Surplus food rules
Partner agrees that all listed food:
- Is safe for human consumption at the time of pickup;
- Has been stored and handled in compliance with applicable food safety standards;
- Is surplus — unsold inventory that would otherwise go to waste, not food specifically prepared for resale at full menu prices through ReLoop;
- Is accurately described to the best of Partner’s knowledge, including major allergens when known and practicable;
- Complies with all applicable labeling, expiry, and food commerce laws in Lao PDR.
Partner must not list:
- Recalled, adulterated, or unsafe products;
- Alcohol or restricted products unless legally permitted and approved by ReLoop;
- Items that violate intellectual property or third-party rights;
- Misleading “bait” listings with no genuine surplus inventory.

4.3 Listing changes while orders are open
If a Customer has an unpaid order reserving inventory, Partner may not reduce quantity or change price or pickup window in a way that would disadvantage that Customer without canceling the order through the Platform.
If a Customer has a paid order, Partner must fulfill it as confirmed, or contact ReLoop support to arrange cancellation and refund per our refund policy.
5. Orders, pickup, and fulfillment
5.1 Order flow
- Customer places and pays for an Order through the Platform;
- Partner receives notification of the paid Order in the vendor Orders inbox;
- Partner prepares the surplus bag for pickup during the stated window;
- Customer presents pickup code or Order confirmation;
- Partner verifies the code and marks the Order as picked up in the App.
5.2 Partner obligations
Partner agrees to:
- Monitor the App for new Orders during business hours;
- Have Orders ready at the pickup location during the pickup window;
- Verify pickup codes before handing over food;
- Treat Customers respectfully and professionally;
- Not discriminate against Customers in violation of applicable law.
5.3 Failed pickup
If a Customer does not arrive within the pickup window, Partner should mark the Order as uncollected in the App. Refund decisions follow the Refund and Cancellation Policy.
6. Payments, fees, and settlement
6.1 Customer payments
Customer payments are collected through ReLoop’s third-party payment providers (e.g. PhaJay / BCEL One). Partner acknowledges that:
- ReLoop does not store Customer bank credentials;
- Payment confirmation is based on provider webhooks and records;
- Partner must not request separate off-platform payment for Orders placed through ReLoop during the pilot unless explicitly authorized by ReLoop in writing.
6.2 Platform fees
ReLoop may charge a platform fee or commission on each completed Order. The applicable rate will be communicated during onboarding or in the App dashboard. ReLoop may update fees with 30 days’ notice to Partner; continued use after notice constitutes acceptance unless Partner terminates this Agreement.
6.3 Settlement (pilot)
During the Vientiane pilot, settlement to Partners may be processed manually on a periodic schedule (e.g. weekly or bi-weekly) to Partner’s designated BCEL bank account, net of platform fees and applicable adjustments for refunds or chargebacks.
ReLoop will provide a settlement summary upon request. Automated payout features may be introduced in a future version with updated terms.
6.4 Taxes
Partner is solely responsible for reporting and paying all taxes, duties, and governmental charges arising from Partner’s sales, including VAT or turnover tax if applicable in Lao PDR.
7. Data and confidentiality
7.1 Customer data
Partner may receive limited Customer information necessary for fulfillment (e.g. first name, order details, pickup code). Partner agrees to:
- Use Customer data only for order fulfillment and related customer service;
- Not solicit Customers for off-platform transactions using data obtained through ReLoop;
- Protect Customer data and comply with applicable privacy laws;
- Delete or return Customer data when no longer needed for fulfillment, subject to legal retention requirements.
7.2 Partner data
ReLoop may use Partner’s business information, logos, and listing photos to operate and promote the Platform, as described in the Privacy Policy.
8. Intellectual property
Partner grants ReLoop a non-exclusive, royalty-free license to use Partner’s name, logo, store images, and listing content on the Platform and in marketing materials referencing Partner’s participation in ReLoop (e.g. “As seen on ReLoop” partner campaigns), unless Partner opts out in writing.
Partner retains ownership of its trademarks and Content. ReLoop retains ownership of the Platform, software, and ReLoop brand assets.
9. Representations and warranties
Partner represents and warrants that:
- It has full authority to enter into this Agreement;
- Its business is duly registered and licensed to sell food in Lao PDR;
- All listings and food offered comply with applicable laws and this Agreement;
- Its Content does not infringe third-party rights;
- It will maintain adequate insurance where required by law or prudent business practice (recommended for food businesses).
10. Indemnification
Partner agrees to indemnify, defend, and hold harmless ReLoop and its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Food sold by Partner, including illness, injury, or allergic reaction allegations;
- Partner’s breach of this Agreement or applicable law;
- Partner’s Content or misleading listings;
- Partner’s interactions with Customers at the store.
11. Limitation of liability
To the maximum extent permitted by law, ReLoop’s liability to Partner under this Agreement is limited to the total platform fees paid by Partner to ReLoop (or owed to Partner by ReLoop, as applicable) in the three (3) months preceding the claim.
ReLoop is not liable for indirect, incidental, special, or consequential damages, including lost profits, except where prohibited by law.
12. Term and termination
12.1 Term
This Agreement begins when Partner is approved and continues until terminated.
12.2 Termination by Partner
Partner may terminate by providing 14 days’ written notice to partners@reloop.la and ceasing new listings. Partner must fulfill or properly cancel all outstanding paid Orders.
12.3 Termination by ReLoop
ReLoop may suspend or terminate Partner immediately for material breach, food safety risk, fraud, or legal requirement. ReLoop may terminate for convenience with 30 days’ notice.
12.4 Effect of termination
Upon termination:
- Partner’s store and listings will be deactivated;
- Outstanding settlement and refund obligations will be processed per this Agreement;
- Sections on indemnification, limitation of liability, confidentiality, and governing law survive.
13. Governing law and disputes
This Agreement is governed by the laws of Lao PDR. Disputes shall be subject to the exclusive jurisdiction of the courts of Vientiane, Lao PDR, unless mandatory law provides otherwise.
Parties agree to attempt good-faith informal resolution for 30 days before initiating legal proceedings.
14. Changes
ReLoop may update this Agreement with notice through the App or email. Material changes take effect after the notice period stated in the communication. Continued use of the Platform as a Partner constitutes acceptance.
